How services work at Kelp Path Field

Each service begins with a description of your situation — and costs nothing until a scope is agreed.

You send a brief account of the matter. Kelp Path Field reads it and responds with a written scope proposal describing what the work would cover, how long it would take, and what the fixed fee would be. You decide whether to proceed. There is no cost attached to that initial exchange.

The three services listed below represent Kelp Path Field's current areas of work. If your situation falls between or outside them, the initial exchange is still the right starting point — we will tell you plainly whether and how we can help.

Compliance Documentation Review

Service 01

Compliance Documentation Review

¥41,000

A review of a company's internal documentation against the obligations applying to its sector and size — covering personal information handling, record retention, internal reporting arrangements and supplier due diligence.

Suited to companies whose customers or partners have begun asking for evidence of compliance, or those preparing for an audit. Four to five weeks.

Gap list ordered by exposure rather than ease of correction — prioritising what poses the greater regulatory risk.

Included

Drafted policy text for any documents that are missing — ready to review and adopt, not a template requiring interpretation.

Included

A plain note of obligations the company already meets — so effort is not spent on what is already in order.

Duration

Four to five weeks from scope confirmation to final written output.

Business Transfer Advice

Advice on the sale or purchase of a business or its assets — covering structure selection, due diligence scope from the buyer's or seller's position, the transfer agreement, and the treatment of employees, contracts and licences through the change.

Intended for owners considering an exit and for companies acquiring a small operation. Six to ten weeks depending on scale.

A risk list from the client's own side of the transaction — what is exposed, where the gaps in due diligence are, and what to watch for after completion.

Included

An explanation of the terms most often disputed after completion — phrased plainly so the client understands what they are agreeing to, not only what the contract says.

Included

Coordination with the accountant handling valuation — so the legal and financial picture are considered together, not separately.

Duration

Six to ten weeks from scope confirmation, depending on the scale and complexity of the transaction.

Document Certification and Procedures

Service 03

Document Certification and Procedures

¥21,000

Handling of documentary procedures that arise around commercial and personal matters — including notarisation arrangements, certified translations for overseas use, apostille and consular procedures, and the preparation of powers of attorney.

Appropriate for individuals and companies dealing with overseas institutions. Usually one to three weeks depending on the receiving country.

A checklist of what each receiving body requires — the precise documents, formats and certifications, not a general guide.

Included

Handling of submission where permitted — rather than leaving the client to navigate the submission procedure independently.

Included

A realistic timeline that accounts for the steps outside Kelp Path Field's control — delays at consulates, translation turnaround, foreign institution processing.

Duration

One to three weeks from scope confirmation, subject to the receiving institution's own processing time.

Common commercial documents — what each party typically undertakes

The following is a static orientation tool, not legal advice on any specific document. It illustrates the general shape of obligations in common arrangements. For advice on your actual document, the initial exchange is the right starting point.

Asset purchase To pay the purchase price at completion; to accept the assets in their condition at that date unless warranties apply; to assume specified liabilities where agreed. Power of attorney To authorise the named person to act within the stated scope on the grantor's behalf; to bear the legal consequences of acts within that scope. The attorney undertakes to act within scope and in the principal's interest; to account for actions taken; not to exceed the authority granted.
Supplier contract To pay invoices within the agreed period; to provide specifications sufficient for the supplier to perform; to notify of changes to requirements within the notice period. To supply goods or services to the stated specification; to maintain required insurances; to notify of inability to supply within the required timeframe.

All fees stated are fixed and agreed in advance. They do not increase unless the scope is formally changed with written agreement from both parties. No initial exchange fee applies.

How engagement works

From initial description to completed matter

Stage 1

Initial description

You send a brief note through the contact form describing your matter. No prior legal knowledge is assumed. Attach any documents you have in hand if they are relevant — this helps us scope accurately.

Stage 2

Conflict check

Before proposing scope, Kelp Path Field checks for conflicts with existing or past clients. If a conflict exists, you are told directly. If none exists, we proceed to the scope proposal.

Stage 3

Written scope proposal

You receive a written description of what the work would involve, what is included, how long it would take, and what the fixed fee is. You decide whether to proceed. There is no cost to this stage.

Stage 4

Engagement confirmation

If you agree to the scope and fee, the engagement is confirmed in writing by both parties. Work begins from that date. Information retention and confidentiality terms are stated at this stage.

Stage 5

Written delivery

At the end of the agreed period, you receive the written output described in the scope. Written updates are provided at agreed points during the work. Questions about the delivered output can be raised at no additional charge within a reasonable period.
