These Terms and Conditions set out the legal obligations applicable to individuals and organisations that engage with Kelp Path Field's advisory services. They form part of the agreement between Kelp Path Field and each client, alongside the written scope of work agreed for a specific engagement.

By proceeding with an engagement after receiving a written scope from Kelp Path Field, you confirm that you have read and agree to these terms. If anything is unclear, you are encouraged to raise it before confirming the engagement.

1. User obligations

In engaging Kelp Path Field, you agree to:

  • Provide accurate, complete and timely information relevant to the matter. Delays or omissions that arise from incomplete information are not attributable to Kelp Path Field.
  • Notify Kelp Path Field promptly of any material changes to the facts or circumstances described at the outset of the engagement.
  • Use any written output delivered by Kelp Path Field only for the purposes described in the agreed scope.
  • Make payment within the period set out in the engagement scope. Failure to do so may result in work being paused or the engagement being closed.

2. Prohibited activities

The following conduct is not permitted in connection with any Kelp Path Field engagement or the use of this website:

  • Providing false or misleading information in connection with an enquiry or engagement.
  • Using Kelp Path Field's written outputs to misrepresent the legal position to a third party or regulatory authority.
  • Seeking advice in connection with activities that are unlawful under Japanese law or the laws of the relevant jurisdiction.
  • Reproducing, selling or licensing written outputs produced by Kelp Path Field without express written consent.

3. Eligibility

Kelp Path Field's services are provided to:

  • Individuals aged 18 or over who are legally capable of entering into binding agreements under applicable law.
  • Legal entities — companies, partnerships and other organisations — represented by an authorised signatory.

By submitting an enquiry, you confirm that you meet these eligibility requirements or that you are acting on behalf of a legal entity with the authority to do so.

4. Disclaimer of warranties

Kelp Path Field applies professional care to all work undertaken. However:

  • Legal advice is an opinion on the position as understood at a point in time. It does not guarantee a particular outcome.
  • Changes in law, regulation or the facts of a matter after an output is delivered are not the responsibility of Kelp Path Field unless a specific ongoing retainer has been agreed.
  • Website content is provided without warranty of accuracy, completeness or fitness for any particular purpose.

5. Limitation of liability

To the fullest extent permitted by law:

  • Kelp Path Field's total liability in connection with any engagement will not exceed the fees paid for that specific engagement.
  • Kelp Path Field is not liable for any indirect, consequential or incidental loss arising from reliance on information provided through the website or in a formal engagement.
  • Nothing in these terms limits liability for gross negligence, wilful misconduct or matters that cannot be excluded under applicable law.

6. Indemnification

You agree to indemnify Kelp Path Field against any claims, losses or expenses arising from your breach of these terms, your provision of inaccurate information, or your use of any written output outside the scope for which it was prepared.

7. Force majeure

Kelp Path Field will not be in breach of these terms by reason of any delay or failure caused by circumstances beyond reasonable control — including natural events, government action, infrastructure failure or other events that could not reasonably have been anticipated or prevented.

8. Dispute resolution and governing law

In the event of a dispute, the parties will attempt to resolve the matter through direct discussion before initiating any formal proceedings.

  • These terms are governed by the laws of Japan.
  • Any unresolved disputes will be referred to the competent courts of Yokohama, unless applicable law requires otherwise.
  • If any clause in these terms is found to be unenforceable, the remainder continues in full effect.
